1. NAME
The Club shall be called "Upnor Sailing Club".2. OBJECT
The Club is for the encouragement of amateur sailing.3. BURGEE AND BADGE
The Club Burgee and Badge shall be a dark blue pennant with a white "U" in the centre.4. OFFICERS AND GENERAL COMMITTEE
(a) The Officers and General Committee of the Club shall consist of a Commodore, Vice Commodore, Rear Commodore, Hon. Secretary, Hon. Treasurer, Mooring Master, Race Captain, Cruise Captain and Social Secretary who shall be elected annually at the Annual General Meeting but shall be eligible for re-election. The Flag Officers shall have been members of the General or Sub-Committees. The Commodore shall not hold office for more than three consecutive years. Five members shall constitute a quorum at meetings of the General Committee.

(a) The General Committee shall, after the Annual General Meeting, appoint the following Sub-Committees:

The Club shall not be liable for any loss or damage to members' property or liability for injury to persons or damage to property arising therefrom and further the Club providing facilities for members such as (but not by way of limitation) Car Parking, Boat Parking and Laying Up, Moorings, shall not be liable for any loss or damage or liability arising from the provision of such facilities and the words "the Club" shall be deemed to include all members, employees and Agents acting for the Club in the handling of the facilities.8. CLUB MEMBERSHIP
(a) Anyone desirous of becoming a member of the Club must be proposed and seconded by members and complete the appropriate membership application form for consideration by the General Committee of the Club. The form shall be posted on the Clubhouse Notice Board for at least 21 days before consideration by the General Committee.
(b) Categories of membership.
A Full Member - being a person who, at the date of election, is over the age of eighteen and shall have one vote.
A Family Member - which expression shall include one or two parents (as may be) and all their children under eighteen years of age. The family unit shall have one vote, exercisable by either parent and shall pay one and a half times the subscription for a full member.
An Honorary Member - The General Committee may, by motion duly proposed and seconded and confirmed by the members at the next Annual General Meeting, elect honorary members, either for life or for a year or such other period as they may decide. An honorary member shall pay neither entrance fee nor subscription and shall have one vote.
A Veteran Member - a Member aged 65 years or more, who has been a Full or Family Member for a minimum of 5 consecutive years, shall be entitled to Veteran Membership of the Club from the ensuing 1st January at the following reduced rates, and shall continue to have one vote.
Membership of 10 years and over, less 10%
Membership of 20 years and over, less 50%
A Veteran Family Member - when either partner of a Family Membership is aged 65 years or more, and has been a Full or Family Member for a minimum of 5 consecutive years, the Family unit shall be entitled to Veteran Family Membership of the Club from the ensuing 1st January at the following reduced rates to the Family Membership subscription, and shall continue to have one vote.
Membership of 10 years and over, less 10%
Membership of 20 years and over, less 50%
If the qualifying partner of the Veteran Family Membership ceases to be a member, the other partner may continue membership of the Club but Veteran Membership will only be available if he or she qualifies according to his or her age and number of consecutive years as a member. The position of the other partner on the seniority list will be amended if necessary.
A Junior Member - being a person who at the date of election, or on the 1st January of the ensuing year, is over the age of 18, but under 23 years. A Junior Member shall pay one quarter the subscription for a Full Member, shall not have a vote, and shall not accrue seniority for moorings purposes. There shall be no entrance fee for those progressing from Family Membership or Cadet Membership, otherwise, one quarter the normal entrance fee will be due upon election.
A Cadet Member - being a person who at the date of election, or on the 1st January of the ensuing year, is under 18 years and whose parents do not hold any class of membership. The Cadet Member shall pay 10% of the subscription for a Full Member, shall not have a vote, and shall not accrue seniority for moorings purposes. There shall be no entrance fee.
A Crewing Member - being a person who, at the date of election, shall be 18 years or over and who shall be participating as regular crew on a member's craft, and who thereby may attend the Club more than the six times a year permitted by Rule 8(f). Application for such membership shall accord with Rule 8(a). A crewing member shall pay three-quarters that subscription paid by a Full Member, shall not pay the Entrance Fee, shall not have a vote, shall not attend any General or Special Meeting, shall not keep any craft on Club administered premises and shall not become eligible to hold a Club mooring or acquire any seniority for such a mooring. Upon written application to the General Committee, and at its discretion, a Crewing Member may transfer to a category of full membership upon payment of the Entrance Fee and annual Subscription of Rule 8(d).
(c) Non-Voting Members. Non-Voting Members (Junior Members, Cadet Members and Crewing Members) shall not become a significant proportion of the Club Membership.
(d) Subscriptions and Fees. There shall be an Entrance Fee and an Annual Subscription which shall be fixed or amended by the General Committee and confirmed by the members at the following Annual General Meeting. The Annual subscription to be paid on election and on the 1st January of each year. Members elected after 31 January shall pay a pro rata subscription equivalent to the number of months remaining in the calendar year, inclusive of the month in which they are elected. The annual Mooring Fee to be paid by the 31st March of each year. If subscriptions and fees are not received by the second Monday after the due date, the General Committee will authorise the issue of reminders to non paying members requesting full payment, or return of the Club key and any other Club property, within 7 days of the date of the reminder. In the case of genuine hardship, a member may apply to the General Committee in writing by the second Monday after the original due date to make special arrangements for payment. This will be allowed at the discretion of the General Committee.
(e) Resignations. Any member wishing to resign from the Club should give notice to the Hon. Secretary before the 31st December.
(f) R. Y. A. Affiliation Fee. The Annual Subscription shall include this fee.
(g) Introduction of Friends. Members may introduce friends accompanying them (except on the occasion of a General or Special Meeting) by entering their names in the book provided for that purpose. All expenses incurred must be defrayed by the member. Members are responsible for the conduct of their guests. No member may introduce any person who to his knowledge has been refused membership of the Club or whose name has been struck off the list of members for non-payment of subscription or from any objectionable cause. No person may be introduced as a visitor more than six times a year, except with the permission of the House Committee. It is expected that relatives and friends of members who regularly use the Club premises or facilities as visitors will apply for membership.
(h) Conduct of Members. In the event of the conduct of any member of the Club being, in the opinion of the General Committee, injurious to the interests of the Club, they may suspend such member from all or any of the privileges of membership for a period at the discretion of the General Committee to protect the welfare and reputation of the Club. Notice under this Rule shall be held to have been duly served if sent by recorded delivery mail to the address of the member appearing in Club records.9. MOORINGS
(a) All moorings to be re-allocated each year by the Mooring Master by the end of February. Allocation being based on length of continuous and unbroken membership of the Club and the class of boat belonging to each member. A member allotted a mooring must not transfer the mooring. Moreover, any change of ownership of a boat must be notified in writing to the General Committee and when the boat is sold the use of the mooring does not go with the boat.
(b) Acceptance of Mooring Allocation and payment of fee binds members to adhere to the mooring instructions issued by the Mooring Master and approved by the General Committee.
(c) Responsibility of Mooring Holders. It is the responsibility of the member to ensure that all mooring equipment used by him is suitable and adequate for the purpose. All users of moorings must have insurance cover for third party liability.
(d) Work Parties. All members allocated moorings are required to attend work parties for annual maintenance of the moorings on dates to be advised by the Mooring Master and/or General Committee. If the member cannot attend a suitable substitute must be appointed.
(e) Annual Mooring Fee. This shall be decided annually by the General Committee and must be paid by the 31st March of each year. If payment is in arrears by this date the mooring may be reallocated at the discretion of the General Committee.10. GENERAL MEETINGS

The Clubhouse shall be open for members at all times and intoxicating liquor may be supplied from the bar during the following hours:
Weekdays - from 1100 hours to 2300 hours
Sundays - from 12 noon to 2230 hours
Christmas Day - from 12 noon to 1500 hours and 1900 hours to 2230 hours.14. ALTERATION OF RULES
(a) These Rules shall not be altered, added to, or rescinded, without the sanction of a majority of Two Thirds of the members present at a General Meeting.
(b) Any case not provided for by the Rules shall be decided by the General Committee.15. GENERAL
All members are required to make themselves acquainted with the Rules and Mooring Instructions and to assist the officers and General Committee in carrying them out for the welfare of the Club.16. SALE OF INTOXICATlNG LIQUOR TO NON MEMBERS
Sales of intoxicating liquor for consumption on the premises may be made to non members admitted to the Club in the following categories:
1. Members and officials of visiting clubs upon the occasion of races or meetings with members of the Club
2. Bona fide visitors introduced by members in accordance with Rule 8(f)
HOUSE BYLAWS & REGULATlONSIn accordance with Rule 14(b) the General Committee have made bylaws for the proper management and good order of the Club House. These bylaws are binding on all club members.
